1) Definition
In these conditions of sale except where the context otherwise requires, the 'Company' shall mean any member of Bathrooms and Things. The 'Buyer' shall mean any person who contracts with the Company on behalf of or as an agent for another and shall be deemed to include all those persons. 'Goods' shall mean any goods supplied by the Company including any material supplied with such Goods as packaging.

2) Price
All prices, discounts and surcharges are subject to variation at any time without notice. Orders are accepted on the basis that Goods supplied will be charged at prices ruling at the date of despatch.

3) VAT
All prices quoted are exclusive of VAT which will be charged where appropriate, at the rate applicable on the date of despatch.

4) Orders
Telephone and verbal orders must quote the Buyer's official order number and are not deemed to be accepted by the Company unless confirmed in writing by the Company.

5) Buyer's Conditions
No conditions of sale which the Buyer seeks to impose shall apply to any sale by the Company and the Company's Conditions of Sale shall exclusively apply unless the Company expressly agrees otherwise, in writing.

6) Cancellations
Order cancellations by the Buyer without penalty will be accepted up to 48 hours after receipt of orders for normal delivery. After this period, cancellation will only be accepted if agreed in writing by the Company.

7) Availability
The Company shall bear no liability for non-supply of Goods ordered as a result of non-availability and will not be liable for any costs that might be incurred through non-availability for whatever reason.

8) Specifications
a) All measurements, weights, specifications and colours are subject to variations within permitted industry limits.
b) The Company reserves the right to alter specifications, colours and model availability without prior notice.

9) Delivery
a) Delivery dates quoted are only an estimate, and whilst the Company will do it's utmost to deliver Goods by the requested delivery date, no responsibility or liability, will be accepted for failure to do so, for whatsoever reason.
b) Carriage is chargeable on orders under £300.00 net. unless expressly agreed in writing prior to despatch.
c) Claims for short delivery, non-delivery or damage must be notified to the Company within 3 working days and must be confirmed in writing within 14 days. Failure to comply with this notification procedure will render any claim invalid.
d) If a delivery notification is marked "Unchecked" by the Buyer, but has been signed and dated as received, the Company will not accept any subsequent notifications of damage or short delivery.
e) The Buyer shall indemnify the Company against all claims for damages and liability whatsoever, arising out of compliances by the Company with the Buyer's delivery instructions.

10) Unloading of Goods
The Buyer will ensure that the delivery vehicle arranged by the Company has adequate access to the point of delivery and shall provide all necessary assistance to the Company in unloading Goods at the point of delivery and in the event of the Buyer failing to do so the Company shall be entitled to charge the Buyer with the amount of any expense incurred by the Company resultant thereof.

11) Payment Terms
Monthly account facilities may be offered subject to the approval of the Company's factoring company, GMAC Commercial Finance plc, who reserve the right to apply to a Credit Reference agency for information. A note of their search will be recorded on the database of the Credit Reference agency. Orders will not be processed until such time as satisfactory financial status has been established.

12) Account Payment
a) Payment is strictly pro forma where no credit account exists.
b) Credit accounts will be due for payment 30 days from the date of the invoice and must be settled within these terms.
c) The Company has the right to immediately suspend all credit facilities and further deliveries in respect of any and all orders in the event that any account or any part of any account has not been settled within the agreed terms
d) Any account or part thereof in dispute must be notified to the Company, in writing, within 7 days of receipt of the Goods and shall be deemed to be separate from other monies owing.
e) Interest equal to the Bank of England base rate plus 8% (as per the EU directive 2000/35/EC) will be charged on all overdue accounts from the date that the payment falls overdue, to the date that cleared funds are received.
f) The Company reserves the right to claim compensation under EU directive 2000/35/EC for any overdue payment.
g) The Buyer will indemnify the Company in full for all legal costs incurred by the Company as a result of legal action taken to recover overdue monies.

13) Retention of Title
a) Title to the Goods delivered or to be delivered by the Company will only be transferred to the Buyer upon receipt of cleared funds by the Company.
b) Until title passes from the Company to the Buyer, the Company shall retain full legal and beneficial title to the Goods but the risk shall pass to the Buyer on delivery.
c) Until such time as title passes to the Buyer, the Company reserves the right at any time, to require the Buyer to deliver the Goods to them. Should the Buyer fail to comply with this request, the Company reserve the right to enter upon any of the premises of the Buyer, or any third party where the Goods are stored, (during the hours of 8.30am-5.30pm Monday to Friday), to take repossession of the Goods.

14) Insolvency
If the Buyer enters into Bankruptcy, Liquidation or a Voluntary Arrangement with it's Creditors, or has a Receiver or Administrator appointed over all or part of it's assets, or if the Company has reasonable cause to believe that any of these events is likely to occur, the Company shall have the right, without prejudice to any other remedies:-
a) To enter without prior notice any premises where Goods owned by the Company may be, and to take possession of any Goods owned by the Company so as to discharge any sums owed to it by the Buyer.
b) To require the Buyer not to resell or part with possession of any Goods owned by the Company until the Buyer has paid in full all sums owed by it to the Company and to place these Goods in an area, separate from other goods where they can be identified as the Goods of the Company.
c) To withhold delivery of any undelivered Goods in transit. Unless the Company expressly elects otherwise any contract between it and the Buyer for the supply of Goods shall remain in existence notwithstanding any exercise by the Company of its rights under this clause although the obligations of the Company may, at its option, be suspended.
d) The Company shall be entitled to trace the proceeds of sale and any insurance proceeds received by the Buyer in respect of Goods owned by the Company. Such proceeds shall be paid into a separate bank account and shall be held by the Buyer on trust for the Company and identified as such.

15) Force Majeure
The Company shall have the right to cancel or delay deliveries or to reduce the amount delivered if it is prevented from, or hindered in or delayed in delivering by normal routes or means of delivery the Goods through any circumstances beyond it's control, including but not limited to strikes, lock-outs, accidents, war, fire, reductions in or unavailability of power at a manufacturer's plant, machinery or shortage or unavailability of raw materials from the normal sources or routes of supply to the Manufacturer.

16) Essence Of Contract and Cancellation Or Variation Of Conditions
Each and every condition herein set out is hereby declared to be of the essence of every contract made with the Company and each condition can be cancelled or varied only in writing under the hand of the Financial Director of the Company. No other Officer, Representative, or Employee of the Company has any authority to agree to such cancellation or variation.

17) Law
These Terms and Conditions of Trade shall be governed by the laws of England and Wales, whose courts shall have exclusive jurisdiction regarding any dispute arising out of or in connection with them.
